1. Purpose and Scope
This Risk Disclosure and Disclaimer (“Disclosure”) applies to all products, features, services, communications, and content provided by Sterling Stock Picker (“SSP,” “we,” “us,” “our”). This includes, without limitation:
  1. 1. The Sterling Stock Picker website, desktop portal, and mobile application;
  2. 2. All stock screening tools, Northstar ratings, Portfolio Assistant, indicators, alerts, watchlists, cost basis entries, portfolio tracking tools, and notifications;
  3. 3. Educational courses, lessons, and materials;
  4. 4. The Stock Forum, livestream events, livestream chats, livestream replays, and community-driven features;
  5. 5. Email communications, newsletters, notifications, and customer support interactions;
  6. 6. Finley AI (“Finley”), SSP’s artificial intelligence financial coach;
  7. 7. Any commentary, statements, or communications by Jaden Sterling, SSP staff, affiliates, or other users.

By accessing or using SSP in any manner, you acknowledge, understand, and agree to the terms of this Disclosure.

2. No Investment Advice

2.1 SSP is not a registered investment advisor, broker-dealer, financial analyst, fiduciary, or financial planner under U.S., Canadian, or international securities laws.

4.2 Cost Basis, Portfolio, and Watchlists

Tools are designed for display and recordkeeping.

Accuracy depends on user input; SSP is not responsible for errors in data entry or interpretation.

5. Data Accuracy and Limitations

5.1 SSP uses third-party data providers.

7. Finley AI – “Your Personal AI Financial Coach”

7.1 Nature of Finley AI

Finley is an artificial intelligence assistant that generates natural language outputs, including commentary on stocks, sectors, portfolio management, and risk assessment.

7.2 No Financial Advice

Finley’s outputs are educational and entertainment only.

Terms like “recommendation,” “advice,” or “strategy” are non-binding and illustrative.

Finley does not consider your full financial circumstances, tax position, or objectives.

7.3 AI Outputs

Generated dynamically and may contain errors, omissions, or outdated information.

SSP does not guarantee the accuracy, timeliness, or completeness of Finley’s responses.

7.4 Portfolio Analysis and Risk Scores

Finley’s “Risk Number system” or portfolio insights are not recognized financial standards.

They should not be used as a substitute for professional financial advice.

7.5 User Responsibility

You agree not to rely on Finley’s outputs for actual financial decisions.

You assume all risks for actions taken based on Finley’s responses.

7.6 Limitation of Liability

SSP disclaims liability for reliance on Finley’s commentary, outputs, or suggestions.

No advisory relationship exists between users and SSP/Finley.

8. User Responsibility

8.1 Users must conduct independent research and consult licensed professionals before making decisions.

8.2 Users accept that securities involve risk, including loss of principal.

9. Limitation of Liability

9.1 SSP shall not be liable for:

9.2 SSP’s liability, if any, shall not exceed the amount paid by the user for access.

10. Indemnification

Users agree to indemnify and hold harmless SSP, its affiliates, employees, contractors, representatives, and AI systems (including Finley) from claims, damages, or liabilities arising from:

  2. 2. Participation in community features;
  3. 3. Interaction with Finley AI;
  4. 4. Violation of this Disclosure.
11. Governing Law

This Disclosure is governed by the laws of the State of Idaho, United States, with exclusive jurisdiction in the state and federal courts located in Boise, Idaho. Users consent to the jurisdiction of courts in these regions

12. Closing Statement

5. PAYMENT
When you make a purchase on the Website, you agree to provide a valid instrument to make a payment. Pay attention to the details of the transaction, as your total price may include taxes, fees, and shipping costs, all of which you are responsible for. When you provide a payment instrument to us, you confirm that you are permitted to use that payment instrument. When you make a payment, you authorize us (and our designated payment processor) to charge the full amount to the payment instrument you designate for the transaction. You also authorize us to collect and store that funding instrument, along with other related transaction information. If you pay by credit or debit card, we may obtain a pre-approval from the issuer of the card for an amount as high as the full price. If you cancel a transaction before completion, this pre-approval may result in those funds not otherwise being immediately available to you. We may cancel any transaction if we believe the transaction violates these Terms, or if we believe doing so may prevent financial loss. In order to prevent financial loss to you or to us, we may contact your funding instrument issuer, law enforcement, or affected third parties (including other users) and share details of any payments you are associated with, if we believe doing so may prevent financial loss or a violation of law. Payment for any on-going services is billed automatically until notification that you would like to terminate your access to the services.

We will select our own legal counsel and may participate in our own defence, if we wish to so.
13. SPAM POLICY
You are strictly prohibited from using the Website or any of our services for illegal spam activities, including gathering email addresses and personal information from others or sending any mass commercial emails.

We may occasionally post links to third party websites or other services. We are not responsible or liable for any loss or damage caused as a result of your use of any third party services linked to from our Website.
15. VARIATION
To the extent any part or sub-part of these Terms and Conditions is held ineffective or invalid by any court of law, the prior, effective version of these Terms and Conditions be considered enforceable and valid to the fullest extent.
16. SERVICE INTERRUPTIONS
We may need to interrupt your access to the Website to perform maintenance or emergency services on a scheduled or unscheduled basis. You agree that your access to the Website may be affected by unanticipated or unscheduled downtime, for any reason, but that the we will have no liability for any damage or loss caused as a result of such downtime.
17. TERMINATION OF ACCOUNT
We may, in our sole discretion, suspend, restrict or terminate your Account and your use of the Website, effective at any time, without notice to you, for any reason, including because the operation or efficiency of the Website or our or any third party's equipment or network is impaired by your use of the Website, any amount is past due from you to us, we have received a third party complaint which relates to your use or misuse of the Website, or you have been or are in breach of any term or condition of these Terms and Conditions.
